(c) Make recommendations to Council on matters of policy regarding the proper functioning and development of the Agency; (d) Submit to the Secretary-General, reports at such intervals as the Secretary-General may determine; and (e) Exercise such other powers and perform such other duties as are conferred or imposed on it by this Charter, or as may from time to time be determined by the Secretary- General. 5. The number of Board Members may be modified by Council on the recommendation of the Secretary-General. 6. Board Members shall hold office for a term of two (2) years and may be eligible for re-appointment once. 7. In appointing Board Members, Council shall ensure that each Member State shall have an opportunity of serving on the Board and also ensure continuity through the reappointment of a number of serving Members. 8. A Board Member shall remain in office until a successor has been appointed. Article 8 Meetings of the Board 9. A Board Member appointed in place of one whose office has become vacant before the end of his tenure shall hold office only for the remainder of that term. Subject to this Charter and any directions given by Council, the Board shall: 10. The Executive Director and staff shall constitute the secretariat of the Board. 11. The Executive Director shall provide secretariat services to the Board. Article 7 Functions of the Board (a) Determine the frequency of its meetings; and (b) Adopt its own procedure, including the conduct of business and the rotation of the position of the Chairperson among Board Members. Article 9 Executive Director and Staff of the Agency The Board shall: (a) Act as an advisory body to the Council through the Secretary-General to ensure the proper functioning and development of the Agency in accordance with the Treaty and this Charter; (b) Ensure the proper functioning and development of the Agency in accordance with the Treaty and this Charter; 1. The Agency shall be headed by an Executive Director who shall be appointed by the Council on the recommendation of the Board, through the office of the Secretary-General, to serve for a term of three years, and shall be eligible for re-appointment for a further period of three years. 2. The Executive Director shall be the principal executive officer and shall be responsible for the operations of the Agency. 38
